These Terms of Use form a legally enforceable contract between you (acting individually or representing an organization) and DGBS X regarding your access to and utilization of this Platform and its associated services.

1. ACCOUNT REGISTRATION

1.1 To create an account on this Platform, you must complete a straightforward registration procedure by entering your email address as your Login ID and establishing a secure password. You must ensure that all information provided is truthful, accurate, current, and comprehensive.

1.2 You bear full responsibility for safeguarding the confidentiality of your Login ID and password. You acknowledge and accept accountability for any activities conducted through your account or password, regardless of whether such activities were authorized by you. You must promptly inform DGBS X upon discovering any compromise of your login credentials or unauthorized account access, accompanied by adequate documentation of such unauthorized activity.

1.3 DGBS X assumes no liability for damages or losses arising from unauthorized utilization of your login credentials. DGBS X maintains the authority to remove, reclaim, or modify any username you choose if determined, at our exclusive discretion, to be inappropriate, offensive, excessively similar to existing users, or otherwise unacceptable.

1A. ACCOUNT TERMINATION, SUSPENSION AND MANAGEMENT

1A.1 DGBS X retains the absolute right, at our complete and sole discretion, to deny services, terminate or suspend user accounts, modify or remove content, or cancel transactions at any moment under the following circumstances:

• (a) violation of any provision within these Terms of Use;
• (b) suspected or reported fraudulent activity or forgery involving your account;
• (c) disputes regarding account ownership;
• (d) misrepresentation or abuse related to your account;
• (e) actions that disparage, damage, or harm DGBS X and/or this Platform, as determined by DGBS X;
• (f) conduct inconsistent with DGBS X's values, including misuse of terms for refund claims; and
• (g) use of this Platform contrary to applicable legal regulations.

1A.2 You acknowledge that DGBS X bears no liability towards you or any third party resulting from account termination, suspension, service denial, order cancellation, or content removal.

2. WARRANTIES AND LIABILITY DISCLAIMER

2.1 You explicitly acknowledge and consent that your access to and utilization of this Platform and associated services are undertaken at your own risk. All materials and information on this Platform, including product descriptions, data, text, graphics, audio, video, hyperlinks, and other content (collectively "Content"), are made available on an "as is" and "as available" basis, without any warranties, whether expressed or implied.

2.2 While DGBS X employs reasonable measures to ensure Content accuracy and validity, most information is supplied by our merchants. Any concerns should be directed to the relevant merchant. DGBS X provides no express or implied warranties, representations, or endorsements regarding completeness, accuracy, usefulness, reliability, or fitness for specific purposes concerning this Platform, its Content, or functionality, and explicitly disclaims liability for errors or omissions.

2.3 Unless explicitly stated otherwise, DGBS X and our participating merchants provide no explicit or implied warranties, representations, or endorsements, including warranties of title, non-infringement, merchantability, functionality, completeness, accuracy, quality, reliability, or suitability for particular purposes regarding products or services available on this Platform.

2.4 Payment card transactions are handled through third-party payment processors. The categories of credit or debit cards accepted may vary depending on the payment processor utilized.

2.5 All Easy Payment Plan (EPP) options available on our platform are administered by us, encompassing all associated procedures and EPP application processes with participating banks.

2.6 Financial facilities or installment payment plans provided by banks through the Platform are governed by the respective bank's terms and conditions, as amended periodically. To access these facilities, you must select the applicable financial option during checkout, subject to the relevant bank's requirements.

2.7 You acknowledge the inherent security vulnerabilities of online information sharing and internet transactions, and agree that DGBS X bears no responsibility for security breaches resulting from third-party actions.

2.8 DGBS X disclaims responsibility and liability for losses you incur due to:

• (a) user errors, including forgotten passwords or incorrect transaction entries;
• (b) server or system failures, errors, omissions, interruptions, transmission delays, or data loss;
• (c) any access, use, or inability to access this Platform;
• (d) reliance on data or information available through this Platform without independent verification; and
• (e) circumstances beyond DGBS X's control, including unauthorized third-party access, viruses, or cyber-attacks.

2.9 DGBS X accepts no responsibility for losses arising from incorrect shipping or payment information entered by users or erroneous payment remittances. We retain the right to verify your authorization to use specific payment methods and may suspend transactions pending confirmation or cancel transactions if confirmation is unavailable.

2.10 You acknowledge that all product and service prices and availability on the Platform are subject to change and may include additional fees such as processing, registration, sign-up, administrative, transportation, runner, packaging fees, or other charges as determined by DGBS X. DGBS X is not obligated to notify you of price or availability changes. By completing a transaction or purchase, you agree to the applicable prices and associated fees, including variable charges.

2.11 Prices displayed on the Platform are valid exclusively for purchases made through this Platform for specifically listed products and services. These prices do not apply to alternative sales channels, platforms, physical stores, or products and services not listed on the Platform, regardless of whether offered by brands or merchants featured here.

2.12 Displayed prices exclude additional charges including taxes, title fees, licensing, registration fees, on-the-road costs, processing fees explorer, handling charges, runner fees, inspection fees, road tax, insurance premiums, or operational costs. Such fees may be payable to dealers, merchants, third parties, or relevant authorities and are separate from the net selling price.

2.13 Merchants on the Platform may offer warranties for certain products and services at their sole discretion, subject to the applicable merchant's terms and conditions.

3. USER CONDUCT

3.1 Your access to and utilization of this Platform must consistently comply with applicable laws, regulations, legislation, and DGBS X policies. You must not engage in conduct that:

• (a) interferes with other users' access to and use of this Platform and its services;
• (b) disrupts DGBS X's or our partners' provision of this Platform and services;
• (c) negatively impacts the rights of DGBS X, our partners, or other individuals;
• (d) creates civil liability or constitutes criminal conduct;
• (e) offends public morals or decency,

or otherwise misuses this Platform, its content, or services. You must not assist or enable others in performing such prohibited activities.

4. PRODUCT DELIVERY

4.1 Free trial periods are not available for products featured by DGBS X's merchants.

4.2 Purchase deliveries depend entirely on merchant stock availability and your delivery location. Merchants bear full responsibility for all deliveries, with products shipped exclusively to Malaysian addresses. Providing inaccurate or incomplete address details may result in extended delivery times or lost shipments, for which DGBS X bears no liability.

4.3 All Platform purchases are made pursuant to the delivery terms specified herein. Risk of loss or damage and product title transfer from the relevant merchant to you upon delivery. DGBS X bears no responsibility for product loss or damage risk, which remains a matter between the merchant and platform user.

4.4 If delivery fails due to your absence at the designated address, you assume full responsibility for additional delivery costs.

4.5 You acknowledge that neither DGBS X nor our merchants are obligated to provide refunds for products or services under the aforementioned circumstances or situations beyond merchant control.

5. RETURN, REPLACEMENT, CANCELLATION AND REFUND PROCEDURES

5.1 All returns, refunds, replacements, and cancellations must comply with the instructions and requirements outlined in DGBS X's Return, Replacement, Cancellation and Refund Policy.

5.2 In cases of unresolvable disputes between DGBS X's merchant and/or you as a user, both the User (Buyer) and DGBS X's Merchant (Seller) irrevocably agree to:

• (a) initially communicate to resolve disputes through mutual discussion, with DGBS X providing reasonable facilitation;
• (b) allow DGBS X to suggest and implement appropriate resolutions at our sole discretion;
• (c) pursue resolution through claims tribunals in your local jurisdiction if mutual discussions fail;
• (d) refrain from asserting claims against DGBS X or its Affiliates regarding Platform transactions or related disputes.

6. INTELLECTUAL PROPERTY RIGHTS

6.1 All Platform content, including text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is owned or licensed by DGBS X and/or our content providers and protected by copyright, trademark, and other legal provisions. The compilation of all Platform content is DGBS X's exclusive property and protected by copyright law.

6.2 Without prior written authorization from DGBS X and/or relevant third-party proprietors, no license or right is granted to use, download, reproduce, copy, or modify any trademarks, service marks, or logos appearing on the Platform.

6.3 Similarly, without prior written consent from DGBS X and/or relevant proprietors, no trademarks, service marks, or logos may be used as links or to mark links to this Platform or other DGBS X-owned or controlled sites.

7. LICENSE AND PLATFORM ACCESS

7.1 DGBS X grants you a restricted license to access and personally use this Platform. You may not download (except for page caching) or modify the Platform or any portion thereof without DGBS X's express written authorization.

7.2 No portion of this Platform may be reproduced, duplicated, copied, sold, resold, accessed, or exploited commercially without DGBS X's express written permission.

7.3 You may not frame or employ framing techniques to enclose any DGBS X trademark, logo, or proprietary information (including images, text, page layout, or forms) without express written authorization. Using metatags or "hidden text" incorporating DGBS X's name or trademarks without express written consent is prohibited.

8. LIABILITY EXCLUSION

8.1 DGBS X bears no liability under any circumstances for losses or damages of any nature, whether in contract, tort, negligence, strict liability, or otherwise, including direct, indirect, special, incidental, consequential, or punitive damages, loss of profits or savings arising from your access, use, or inability to access this Platform (or third-party links to or from this Platform), reliance on Platform information, technical or hardware failures, interruptions, errors, omissions, delays, computer viruses, or similar issues. This exclusion applies to the maximum extent permitted by law.

8.2 Claims, if any, should be directed to DGBS X's merchant if demonstrable loss has occurred.

9. INDEMNIFICATION

9.1 You irrevocably agree to indemnify and hold harmless DGBS X and our participating strategic partners from all liabilities, claims, losses, and expenses, including legal fees incurred by DGBS X and partners in connection with or arising from:

• (a) your misuse of this Platform and associated services; and/or
• (b) your breach of these Terms of Use; and/or
• (c) third-party intellectual property or proprietary rights infringement claims against DGBS X related to your Platform use.

10. PRODUCT INFORMATION AND ORDERING

10.1 Platform information may contain typographical errors, inaccuracies, or be incomplete or outdated. Such errors may relate to product descriptions, images, pricing, or availability. Errors will be corrected upon discovery. DGBS X reserves the right to revoke offers and correct errors, inaccuracies, or omissions (including after order submission).

11. PRICING ERROR PROCEDURES

11.1 Upon discovering pricing errors for Platform-listed items, DGBS X and/or our merchants reserve the right to adjust product prices even after payment. We will request buyer confirmation regarding revised prices. If you decline the revised price, orders will be cancelled with full refunds issued.

12. COMMUNICATIONS

12.1 We communicate with you via email, Platform notices, and/or the Platform inbox function.

12.2 You acknowledge that electronic communications we provide satisfy legal requirements for written communications.

13. PRIVACY PROTECTION

13.1 Your privacy is highly important to us. To safeguard your rights, we maintain a Privacy Policy explaining our privacy practices comprehensively. Please review the Privacy Policy to understand how we collect and utilize information associated with your Account and Platform use.

13.2 By using the Platform, you:

• (a) consent to our collection, use, disclosure, and processing of your Content and personal data as described in the Privacy Policy;
• (b) acknowledge that proprietary rights to your Information are jointly owned by you and DGBS X Sdn Bhd; and
• (c) must not, directly or indirectly, disclose your Information to third parties or permit third-party access without our prior written consent.

14. INTELLECTUAL PROPERTY INFRINGEMENT REPORTING

14.1 We prohibit listings violating intellectual property rights of brands or other intellectual property rights owners ("IPR Owner").

14.2 Unless explicitly stated otherwise, every user and merchant operates independently and is not associated with DGBS X. DGBS X is neither agent nor representative of merchants and does not own merchandise listed on the Platform.

14.3 If you are an IPR Owner or authorized agent ("IPR Agent") and believe your rights have been infringed, please submit a complaint with requested supporting documentation. We will respond as promptly as practicable.

14.4 We acknowledge manufacturers' rights to establish exclusive distribution or minimum advertised price agreements. However, such agreement violations do not constitute intellectual property infringement. Agreement enforcement remains a matter between manufacturers and sellers. We do not assist in such enforcement except in countries with laws specifically governing selective or exclusive distribution.

14.5 Each merchant agrees to hold DGBS X harmless from claims, causes of action, damages, and judgments arising from Content or product listing removal pursuant to intellectual property infringement claims.

15. TRANSACTION CURRENCY

15.1 All Platform transactions involve product and service orders executed in Malaysia for local deliveries exclusively. Transactions are conducted and payable in Ringgit Malaysia (RM) unless otherwise specified.

16. RIGHTS WAIVER

16.1 DGBS X's failure to exercise or enforce any right or provision within these Terms of Use does not constitute waiver of such right or provision.

17. MODIFICATION AND SEVERABILITY

17.1 DGBS X reserves the right to modify this Platform, policies, and these Terms of Use at any time. If any provision is deemed invalid, void, or unenforceable, that provision shall be severed without affecting remaining provisions' validity and enforceability.

18. GOVERNING LAW AND JURISDICTION

18.1 These Terms of Use are governed by and construed according to Malaysian law. By accessing this Platform and utilizing services provided by DGBS X, you consent to the exclusive jurisdiction of Malaysian courts for disputes arising from Platform use.
