SELLER AGREEMENT
This Seller Agreement ("Agreement") is entered into between DGBS X Sdn Bhd (Company Registration No: 202501057942 / 1659348-P) ("DGBS X", "we", "us", or "the Platform") and the merchant ("Seller", "Merchant", or "you") who registers and operates a seller account on https://senang2u.com.my (the "Platform").
By completing the merchant registration process and/or listing any product or service on the Platform, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions set forth in this Agreement, the Platform's Terms of Use, Privacy Policy, and Refund, Replacement, Cancellation and Return Policy.
This Agreement is legally binding. Only individuals aged 18 years or older, or duly registered companies/businesses, are eligible to become Sellers on the Platform.
1. DEFINITIONS
In this Agreement, unless the context otherwise requires:
- "Buyer" means any registered user of the Platform who purchases products or services listed by the Seller.
- "Commission" means the percentage-based fee charged by DGBS X on each successful transaction, as set out in the Commission Schedule.
- "EPP" means Easy Payment Plan, a 0% interest installment payment facility administered by DGBS X in partnership with participating banks.
- "Listing" means any product or service posted by the Seller for sale on the Platform.
- "Net Proceeds" means the total transaction amount minus the applicable Commission and any other deductions provided for under this Agreement.
- "Settlement" means the payment of Net Proceeds from DGBS X to the Seller's registered bank account.
2. SELLER REGISTRATION AND ELIGIBILITY
2.1 To become a Seller, you must complete the merchant application form and provide all required information, including but not limited to:
- (a) full legal name or registered business name;
- (b) business registration number (SSM) or identification number (MyKad/Passport);
- (c) registered business address and contact details;
- (d) bank account details for settlement purposes;
- (e) a valid government-issued identification document; and
- (f) any other documentation DGBS X may reasonably require.
2.2 You warrant that all information provided during registration and throughout the term of this Agreement is truthful, accurate, current, and complete. You must promptly notify DGBS X of any changes to your registration information.
2.3 DGBS X reserves the right to approve or reject any merchant application at its sole discretion without providing reasons for rejection.
2.4 Each Seller account must correspond to a single legal entity or individual. Operating multiple Seller accounts without DGBS X's prior written consent is prohibited.
3. SELLER OBLIGATIONS
3.1 The Seller shall:
- (a) ensure all Listings are accurate, complete, and not misleading, including product descriptions, images, pricing, specifications, variants, availability, and condition;
- (b) maintain adequate inventory for all listed products and promptly update or remove Listings when products become unavailable;
- (c) fulfill all orders within the timeframe specified at the time of listing or within three (3) business days of order confirmation, whichever is earlier;
- (d) package products securely and appropriately to prevent damage during shipping;
- (e) provide valid tracking information for all shipped orders;
- (f) comply with all applicable Malaysian laws, regulations, and industry standards, including but not limited to the Consumer Protection Act 1999, Sale of Goods Act 1957, Trade Descriptions Act 2011, and any regulations issued by the Malaysian Communications and Multimedia Commission (MCMC);
- (g) respond to buyer inquiries within two (2) business days;
- (h) not list prohibited, counterfeit, stolen, illegal, or unsafe products; and
- (i) maintain a professional and courteous relationship with buyers at all times.
3.2 The Seller shall not:
- (a) attempt to direct buyers to complete transactions outside the Platform;
- (b) engage in price manipulation, fake reviews, or other deceptive practices;
- (c) list products that infringe upon any third party's intellectual property rights;
- (d) use the Platform for money laundering, terrorist financing, or any illegal activity;
- (e) access or interfere with other Sellers' accounts, listings, or data; or
- (f) disparage or take actions that damage the reputation of DGBS X or the Platform.
4. PROHIBITED PRODUCTS AND SERVICES
4.1 The following products and services are strictly prohibited from being listed on the Platform:
- (a) illegal drugs, controlled substances, and drug paraphernalia;
- (b) weapons, firearms, ammunition, and explosives;
- (c) counterfeit, replica, or pirated products;
- (d) stolen goods or goods obtained through illegal means;
- (e) products that infringe upon intellectual property rights (trademarks, copyrights, patents);
- (f) adult content, pornographic materials, or obscene items;
- (g) hazardous materials, toxic substances, or items prohibited under Malaysian law;
- (h) live animals (unless specifically authorized by DGBS X in writing);
- (i) products subject to recalls or safety bans;
- (j) gambling or lottery-related products and services;
- (k) human organs, body parts, or bodily fluids; and
- (l) any other products that DGBS X determines, at its sole discretion, to be inappropriate for the Platform.
5. COMMISSION STRUCTURE AND FEES
5.1 DGBS X charges a commission on each successful transaction ("Commission"). The applicable Commission rates are as follows:

5.2 Commission is calculated based on the product selling price only, excluding shipping charges and any applicable taxes.
5.3 DGBS X reserves the right to adjust Commission rates with thirty (30) days' prior written notice to the Seller. Continued use of the Platform after adjustments take effect constitutes acceptance of the revised rates.
5.4 Additional fees may apply for optional services, including but not limited to:
- (a) Featured listing placement — rates as published on the Platform;
- (b) Promotional campaigns — co-funded marketing campaigns as agreed between the Seller and DGBS X; and
- (c) Payment processing fees — third-party payment gateway charges, if applicable, shall be borne by the Seller unless otherwise agreed.
6. PAYMENT AND SETTLEMENT
6.1 DGBS X shall collect all payments from Buyers on behalf of the Seller. The Seller acknowledges that DGBS X acts as the merchant of record for all transactions on the Platform.
6.2 Net Proceeds (transaction amount less Commission and applicable fees) shall be settled to the Seller's registered bank account according to the following schedule:
- (a) Standard settlement cycle: within seven (7) to fourteen (14) business days after order delivery confirmation.
- (b) For EPP transactions: settlement follows the same cycle after full payment is received from the participating bank.
6.3 Settlements are made only to the bank account registered by the Seller during onboarding. The bank account must be in the name of the registered Seller or the Seller's registered business entity. DGBS X reserves the right to verify bank account ownership before processing any settlement.
6.4 DGBS X reserves the right to withhold, delay, or offset settlement amounts in the following circumstances:
- (a) pending investigation of suspected fraud or policy violations;
- (b) unresolved buyer disputes, chargebacks, or refund requests;
- (c) outstanding fees, penalties, or amounts owed by the Seller to DGBS X; or
- (d) as required by applicable law or regulatory order.
7. PRODUCT DELIVERY AND FULFILLMENT
7.1 The Seller bears full responsibility for the fulfillment and delivery of all products sold through the Platform. Risk of loss and product title shall transfer from the Seller to the Buyer upon delivery.
7.2 Products must be shipped within the timeframe specified in the Listing or within three (3) business days of order confirmation, whichever is earlier. Failure to ship within this period may result in automatic order cancellation and account penalties.
7.3 The Seller must use reputable shipping providers and provide valid tracking numbers for all shipments. Delivery is limited to Malaysian addresses unless otherwise agreed with DGBS X.
7.4 The Seller shall be responsible for any loss, damage, or delay in delivery caused by the Seller's actions or the actions of the Seller's chosen shipping provider.
8. RETURNS, REFUNDS, AND CHARGEBACKS
8.1 The Seller agrees to comply with the Platform's Refund, Replacement, Cancellation and Return Policy. Buyers may request returns within three (3) working days of product receipt for damaged, defective, non-operational, or malfunctioning products.
8.2 In the event of a valid return or refund claim as determined by DGBS X, the Seller shall:
- (a) accept the returned product and arrange for a replacement or agree to a refund;
- (b) cooperate with DGBS X in the investigation and resolution of buyer complaints; and
- (c) bear the cost of the refund amount, which may be deducted from pending or future settlements.
8.3 In the event of a chargeback initiated by a Buyer's bank or card issuer, DGBS X shall have full recourse against the Seller. The chargeback amount, together with any associated fees or penalties, may be deducted from the Seller's pending or future settlements. If insufficient funds are available, the Seller shall reimburse DGBS X within fourteen (14) days of notification.
8.4 DGBS X reserves the right to mediate disputes between the Buyer and Seller at its sole discretion. If mutual resolution is not achieved, DGBS X may implement a resolution it deems appropriate, including issuing a refund to the Buyer and recovering the amount from the Seller.
9. INTELLECTUAL PROPERTY
9.1 The Seller warrants that all content uploaded to the Platform, including product images, descriptions, logos, and trademarks, is either owned by the Seller or the Seller has obtained all necessary rights and licenses to use such content.
9.2 By uploading content to the Platform, the Seller grants DGBS X a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute such content for the purpose of operating, promoting, and improving the Platform.
9.3 The Seller agrees to indemnify and hold harmless DGBS X from any claims, damages, or losses arising from intellectual property infringement related to the Seller's Listings or content.
10. CONFIDENTIALITY AND DATA PROTECTION
10.1 The Seller shall treat all business information, transaction data, buyer personal data, and any other confidential information obtained through the Platform as strictly confidential. This obligation survives termination of this Agreement.
10.2 The Seller shall not use buyer personal data for any purpose other than fulfilling orders placed through the Platform. Sending unsolicited communications, marketing materials, or sharing buyer data with third parties is strictly prohibited.
10.3 The Seller shall comply with the Malaysian Personal Data Protection Act 2010 (PDPA) and the Platform's Privacy Policy in handling all personal data.
11. SUSPENSION AND TERMINATION
11.1 DGBS X may suspend or terminate the Seller's account immediately and without prior notice upon:
- (a) breach of any term of this Agreement, the Terms of Use, or any Platform policy;
- (b) suspected or confirmed fraudulent activity, including counterfeit product sales;
- (c) excessive chargeback rates (exceeding 1% of total transactions);
- (d) failure to fulfill orders within the specified timeframes on three (3) or more occasions;
- (e) receiving consistently negative buyer feedback or complaints;
- (f) listing prohibited products as defined in Section 4; or
- (g) any activity that exposes DGBS X to legal, regulatory, or reputational risk.
11.2 The Seller may terminate this Agreement at any time by providing fourteen (14) days' written notice to DGBS X. The Seller must fulfill all pending orders before account deactivation.
11.3 Upon termination by either party:
- (a) all Listings shall be immediately removed from the Platform;
- (b) any pending settlements shall be processed subject to deduction of outstanding fees, chargebacks, or refund liabilities;
- (c) DGBS X may withhold final settlement for up to ninety (90) days to account for potential chargebacks and refund claims; and
- (d) obligations relating to confidentiality, indemnification, and intellectual property shall survive termination.
12. INDEMNIFICATION
12.1 The Seller shall indemnify, defend, and hold harmless DGBS X, its directors, officers, employees, and agents from and against all claims, losses, damages, liabilities, costs, and expenses (including legal fees) arising from or in connection with:
- (a) the Seller's breach of this Agreement or any Platform policy;
- (b) the Seller's products or services, including product defects, safety issues, or personal injury;
- (c) infringement of any third party's intellectual property or other rights;
- (d) the Seller's violation of applicable laws or regulations;
- (e) any tax liability arising from the Seller's transactions on the Platform; and
- (f) any dispute between the Seller and a Buyer that is not resolved through the Platform's dispute resolution process.
13. LIMITATION OF LIABILITY
13.1 DGBS X shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity arising from or in connection with this Agreement or the Seller's use of the Platform.
13.2 DGBS X's total aggregate liability under this Agreement shall not exceed the total Commission collected from the Seller in the six (6) months preceding the claim.
14. TAX OBLIGATIONS
14.1 The Seller is solely responsible for determining and fulfilling all tax obligations arising from sales made through the Platform, including but not limited to Sales and Service Tax (SST), income tax, and any other applicable taxes.
14.2 DGBS X shall not be held responsible for the Seller's tax compliance. The Seller agrees to provide any tax-related documentation reasonably requested by DGBS X.
15. MODIFICATIONS TO THIS AGREEMENT
15.1 DGBS X reserves the right to amend, modify, or update this Agreement at any time. Material changes will be communicated to the Seller via email or Platform notification at least fourteen (14) days before taking effect. Continued use of the Platform after such changes constitutes acceptance of the modified terms. If the Seller does not agree to the revised terms, the Seller must terminate their account before the effective date of the changes.
16. GOVERNING LAW AND DISPUTE RESOLUTION
16.1 This Agreement shall be governed by and construed in accordance with the laws of Malaysia.
16.2 Any dispute arising from or in connection with this Agreement shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved within thirty (30) days, either party may refer the matter to the exclusive jurisdiction of the courts of Malaysia.
16.3 Nothing in this Agreement shall prevent DGBS X from seeking urgent injunctive or equitable relief from a court of competent jurisdiction.
17. GENERAL PROVISIONS
17.1 Entire Agreement. This Agreement, together with the Terms of Use, Privacy Policy, and Refund Policy, constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior agreements and understandings.
17.2 Severability. If any provision of this Agreement is deemed invalid, void, or unenforceable, that provision shall be severed without affecting the validity and enforceability of the remaining provisions.
17.3 Waiver. The failure of DGBS X to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.
17.4 Assignment. The Seller may not assign or transfer this Agreement or any rights hereunder without DGBS X's prior written consent. DGBS X may freely assign this Agreement.
17.5 Independent Contractors. The relationship between DGBS X and the Seller is that of independent contractors. Nothing in this Agreement shall create a partnership, joint venture, agency, or employment relationship between the parties.
17.6 Force Majeure. Neither party shall be liable for delays or failure to perform obligations under this Agreement due to circumstances beyond its reasonable control, including natural disasters, pandemics, government actions, wars, or infrastructure failures.
ACKNOWLEDGMENT
BY COMPLETING THE MERCHANT REGISTRATION ON SENANG2U.COM.MY, I CONFIRM THAT I HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY ALL TERMS AND CONDITIONS SET FORTH IN THIS SELLER AGREEMENT AND ALL RELATED PLATFORM POLICIES.
